Eye-to-eye and stroke are most important, but you should also check that the shock fits into the frame through the whole shock stroke. Some of the piggyback reservoir designs won't fit into frames with a small space for the shock.

As mentioned, eye to eye and stroke are very important. If the stroke on the new shock is longer, you'll get more travel, but your frame may not have the clearance. If the stroke is shorter, you'll get less travel. If the eye to eye is longer, it'll push up your bottom bracket height and steepen the angles, but again, you may have clearance issues.

You'll also need to make sure that any knobs or resivoirs don't contact the frame throughout the travel.
